These Terms and Conditions (“Legal Terms”) constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”, “User”, or “Client”), and Cod Xpert (“Company”, “we”, “us”, or “our”), concerning your access to and use of the https://codxpert.com/ website as well as any associated services, digital products, and software engineering engagements.

1. SERVICES & SCOPE OF WORK

Cod Xpert provides professional web development, mobile application development, UI/UX design, custom software engineering, and digital consulting services. Specific deliverables, project milestones, pricing, and turnaround timelines are governed by individual project statements of work (SOW) or service agreements executed between Cod Xpert and the Client.

2. INTELLECTUAL PROPERTY RIGHTS

Unless otherwise indicated in a formal contract, our website, source code, databases, software, website designs, audio, video, text, photographs, and graphics on the site (collectively, the “Content”) and the trademarks, service marks, and logos contained therein (the “Marks”) are owned or licensed by Cod Xpert and are protected by copyright, trademark, and intellectual property laws of India and international conventions.
Upon receipt of full payment for bespoke development projects, all agreed proprietary ownership and intellectual property rights in the custom deliverable source code shall transfer to the Client in accordance with the executed Service Agreement.

3. USER REPRESENTATIONS & COMPLIANCE

By using our Services, you represent and warrant that:
• You have the legal capacity to enter into binding agreements under the Indian Contract Act, 1872.
• You are not a minor under the age of 18, or you have obtained verifiable parental consent.
• You will not use the Services for any unlawful or unauthorized purpose.
• Your use of the Services will comply with all applicable local, national, and international laws, including the Digital Personal Data Protection Act, 2023 and the Information Technology Act, 2000.

4. DATA PROTECTION & SECURITY COMMITMENT (DPDP ALIGNED)

Both parties acknowledge their respective roles under the Digital Personal Data Protection Act, 2023 (“DPDP Act”):
• Data Fiduciary Duty: Cod Xpert shall maintain reasonable security safeguards to prevent personal data breaches, unauthorized disclosure, and data loss.
• Lawful Processing: Cod Xpert processes client and user personal data strictly pursuant to documented instructions, lawful purposes, and the Privacy Policy.
• Statutory Safeguards: Nothing in these Terms shall limit or waive Cod Xpert’s statutory obligations under Section 8 of the DPDP Act, 2023 to maintain reasonable security safeguards and report data breaches.

5. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, neither party shall be liable to the other for indirect, incidental, consequential, special, or punitive damages (including loss of profits, loss of business revenue, or loss of goodwill) arising out of or related to the Services.
Cod Xpert’s total aggregate liability arising out of or relating to any project or engagement shall be limited to the total fees actually paid by the Client to Cod Xpert under the applicable Statement of Work in the six (6) months preceding the claim.

6. GOVERNING LAW & DISPUTE RESOLUTION

These Legal Terms shall be governed by and construed in accordance with the laws of India.
• Informal Negotiations: Before initiating legal proceedings, both parties agree to attempt to resolve any dispute informally for at least thirty (30) days.
• Arbitration: Any unresolved dispute arising out of or in connection with these Terms shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be New Delhi / Munger, Bihar, India, and the proceedings shall be conducted in the English language.
• Court Jurisdiction: Subject to arbitration, the courts of competent jurisdiction in India shall have exclusive jurisdiction.
